These terms govern access to and use of the Gimi AI affiliate and influencer portal at affiliate.gimiapp.com. They are separate from the consumer app Terms of Use.
By accessing or using the portal, you agree to these portal terms.
Commission rates, payout timing, qualifying transactions, suspension rules, and other deal-specific commercial terms are governed by the separate affiliate or influencer agreement presented to you in the portal. If there is a conflict between these portal terms and an accepted affiliate agreement, the accepted affiliate agreement controls for the commercial relationship.
1. Who may use the portal
- The portal is for invited affiliates, influencers, creators, and administrators only.
- You must be authorized to act for yourself or, if applicable, for the business or creator account you represent.
- You may use the portal only for lawful business purposes related to the Gimi affiliate program.
2. Portal access and account security
- You are responsible for maintaining the security of your login credentials, sign-in links, devices, and access to your email account.
- You must notify us promptly if you believe your portal access has been compromised or misused.
- We may suspend, restrict, or revoke access where needed to protect the portal, attribution integrity, our business, or other users.
3. Permitted use
You may use the portal to review your affiliate relationship, accepted agreement terms, tracking information, commission reporting, payout status, support notices, and related account information.
4. Prohibited conduct
- Do not copy, scrape, reverse engineer, interfere with, or attempt unauthorized access to the portal or its data.
- Do not share portal access with another person unless we have expressly authorized shared access.
- Do not manipulate attribution, referral links, payout logic, event records, or agreement evidence.
- Do not use the portal to support fraud, self-referrals, misleading marketing, brand bidding you are not authorized to run, or other conduct prohibited by your affiliate agreement.
5. Endorsement and compliance obligations
- You must comply with applicable advertising, consumer-protection, platform, and disclosure rules when promoting Gimi, including clearly disclosing any material connection with Gimi where required.
- You must not make false, misleading, unsubstantiated, or deceptive statements about Gimi, its products, pricing, availability, performance, or results.
- You are responsible for your own posts, channels, marketing practices, permissions, and legal compliance unless the accepted affiliate agreement says otherwise.
6. Portal data and records
- The portal may display estimated, pending, locked, unpaid, paid, reversed, or non-eligible amounts depending on your agreement and account status.
- Internal tracking, attribution, fraud review, and payout records maintained by Gimi are the authoritative business records for portal reporting and payout administration, subject to the controlling affiliate agreement.
- We may correct errors, recalculate amounts, reverse ineligible transactions, or withhold payment where the agreement, law, platform rules, or fraud review requires it.
- Portal balances, summaries, and payout indicators are informational unless and until a payout becomes payable under the governing affiliate agreement and is actually approved or processed.
7. Taxes and payment information
You are responsible for providing accurate payout, tax, and identity information requested for the affiliate relationship and for your own tax reporting and obligations, except to the extent the law requires us to handle a specific withholding or reporting duty.
8. Intellectual property and brand use
- The portal and its software, content, and branding remain our property or the property of our licensors.
- Any permission to use Gimi marks, brand assets, or promotional materials is limited, revocable, and subject to your affiliate agreement or separate written approval.
9. Confidentiality
You must not disclose non-public portal information, internal reporting, draft terms, technical details, or other confidential business information except as allowed by your affiliate agreement or by law.
10. Electronic records and notices
You agree that we may provide portal-related notices, agreement updates, confirmations, and records electronically, including inside the portal or by email, and that electronic records may be used to document access, acceptance, and the affiliate relationship.
11. Suspension and termination
We may limit, suspend, or terminate portal access at any time where your affiliate relationship ends, your agreement requires it, fraud or misuse is suspected, compliance review is pending, security requires it, or the portal is changed or discontinued.
12. Disclaimer
The portal is provided on an “as is” and “as available” basis. We do not promise uninterrupted availability, error-free operation, or that the portal will always display data in real time.
13. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, loss of data, or business interruption arising from portal use. Nothing here limits liability that cannot lawfully be excluded.
14. Changes
We may update these portal terms from time to time. Updated terms become effective when posted unless a later date is stated. Material changes to the commercial affiliate relationship may instead require presentation and acceptance of an updated affiliate agreement inside the portal.
15. Governing law
These portal terms are governed by the laws of Israel, without regard to conflict-of-law principles, unless applicable mandatory law requires otherwise.
16. Miscellaneous
- If any provision of these portal terms is held unenforceable, the remaining provisions will remain in effect.
- A failure to enforce any provision is not a waiver of that provision or any other provision.
- You may not assign or transfer your portal access or these portal terms without prior written consent. We may assign these portal terms in connection with a reorganization, sale, transfer, or similar business transaction.
- Sections relating to confidentiality, portal data and records, intellectual property, limitation of liability, governing law, and electronic records survive termination or suspension of portal access.
